These Terms of Use (“Terms”) govern your access to and use of ascendi-capital.com and any pages that link to these Terms (collectively, the “Site”). The Site is operated by Ascendi Capital Inc. (“Ascendi Capital,” “we,” “us” or “our”). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1. Informational Purpose

The Site provides general information about Ascendi Capital, its investment approach, activities, perspectives and affiliated or portfolio businesses. Site content is provided for informational purposes only and may not be complete, current or suitable for your circumstances.

2. No Offer or Solicitation

Nothing on the Site constitutes, or should be construed as, an offer to sell, a solicitation of an offer to buy, or a recommendation relating to any security, investment product or transaction. Any investment opportunity will be made available only through applicable definitive offering, subscription and governing documents, to persons who satisfy applicable legal and eligibility requirements, and only in jurisdictions where permitted by law. If Site content conflicts with definitive documents, the definitive documents govern.

3. No Investment, Legal, Tax or Accounting Advice

The Site does not provide investment, financial, legal, tax, accounting or other professional advice. You should obtain independent professional advice and conduct your own due diligence before making any decision. Nothing on the Site creates an advisory, fiduciary, client, partnership, agency or other professional relationship between you and Ascendi Capital.

Ascendi Capital undertakes no obligation to update forward-looking statements except where required by law.

5. Eligibility and Jurisdiction

The Site is not directed to any person or jurisdiction where access, distribution or use would be unlawful or would require Ascendi Capital to make a registration, filing or other qualification that it has not made. You are responsible for understanding and complying with laws that apply to your access and use. A response submitted through an investor-interest form, including a response about accredited-investor status, does not verify eligibility, reserve an allocation or create any right to invest.

We seek to present useful information but do not warrant that Site content is accurate, complete, current or free of errors. Information may change without notice. The Site and its content, including text, graphics, photographs, video, logos, trademarks, designs and software, are owned by or licensed to Ascendi Capital and are protected by applicable intellectual-property laws. Except for the limited permission above, no right or licence is granted. Third-party names and marks remain the property of their respective owners.

9. Third-Party Sites, Portfolio Companies and Investor Portals

The Site may link to third-party websites, social networks, portfolio companies, operating businesses or an investor portal. These links are provided for convenience. Ascendi Capital does not control and is not responsible for third-party content, availability, security, products, services, policies or practices. Your use of a third-party service is governed by its own terms. Access to an investor portal may also be subject to separate credentials, agreements and confidentiality obligations.

10. Communications and Submissions

Website forms and email are not secure channels for highly confidential, privileged or sensitive information. Do not send confidential deal materials, account credentials, government identification numbers or banking information unless Ascendi Capital specifically requests them through an approved secure process. Submitting an inquiry does not obligate Ascendi Capital to respond, enter discussions, maintain confidentiality beyond an applicable written agreement, or pursue any transaction.

11. Privacy and Cookies

Our collection and handling of personal information through the Site is described in our Privacy Policy. The Site also uses cookies and similar technologies as described in that Policy and in the Cookie Settings interface. The Privacy Policy forms part of these Terms.

12. Site Availability and Security

We may modify, suspend or discontinue any part of the Site without notice. We do not warrant uninterrupted access, compatibility with every device, or that the Site will be secure or free from harmful components. You are responsible for maintaining appropriate device, browser, network and security protections.

13. Disclaimer of Warranties

To the maximum extent permitted by law, the Site and all content are provided “as is” and “as available,” without representations, warranties or conditions of any kind, whether express, implied, statutory or otherwise, including warranties or conditions of accuracy, completeness, currency, merchantability, fitness for a particular purpose, title, non-infringement, security or availability.

14. Limitation of Liability

To the maximum extent permitted by law, Ascendi Capital and its affiliates, officers, directors, employees, advisers, agents, licensors and service providers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive loss or damage, or for loss of profits, opportunities, data, goodwill or business interruption, arising from or relating to the Site, its content, your reliance on it, or any linked third-party service. Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.

15. Indemnity

To the extent permitted by law, you agree to indemnify and hold harmless Ascendi Capital and its affiliates, officers, directors, employees and agents from claims, liabilities, losses and reasonable costs arising from your unlawful use of the Site, your breach of these Terms or your infringement of another person’s rights.

16. Changes and Termination

We may revise these Terms by posting an updated version with a new effective date. Your continued use after the revised Terms are posted constitutes acceptance of the revised Terms. We may restrict or terminate access to the Site where we reasonably believe these Terms have been breached or where necessary to protect the Site, Ascendi Capital or others.

17. Governing Law

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable in Alberta, without regard to conflict-of-law principles. Subject to applicable law, the courts located in Calgary, Alberta will have exclusive jurisdiction over disputes arising from or relating to the Site or these Terms.

18. General

If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in effect and the affected provision will be interpreted or limited to the minimum extent necessary. A failure to enforce a provision is not a waiver. These Terms, together with the Privacy Policy and any additional terms expressly applicable to a feature or service, constitute the agreement governing use of the Site.
